Terms of Service

1. About Satisphy

Satisphy ("we," "our," or "us") operates satisphy.io, a web-based platform that provides interactive physics simulation tools for content creators. The service allows users to generate, customize, and export physics-based animations for use on social media platforms including TikTok, Instagram Reels, and YouTube Shorts.

2. Eligibility

You must be at least 13 years of age to use Satisphy. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the service, you represent and warrant that you meet these requirements and that the information you provide during registration is accurate and complete.

3. Account Registration

To access Satisphy, you must create an account by providing a valid email address, a display name, and a password. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately at satisphyio@gmail.com if you suspect unauthorized access to your account.

You may not share your account with others, create multiple accounts to circumvent limitations, or transfer your account to another person.

4. Subscription Plans and Billing

4.1 Plan Tiers

Satisphy offers the following paid subscription plans:

• Starter ($9.99/month): Full access to all sim modes, 720p export at 60fps, preset color themes, unlimited recording. All exports include a Satisphy watermark.
• Creator ($17.99/month): All Starter features, plus watermark-free 1080p exports, full custom color picker, and a commercial license for exported content.
• Annual ($149.99/year): All Creator features billed annually. Equivalent to approximately $12.50/month — a saving of $66 versus the Creator monthly plan.

4.2 Billing and Payment

All payments are processed by Lemon Squeezy (VitalSource Technologies, LLC), our merchant of record. By subscribing, you authorize Lemon Squeezy to charge your selected payment method on a recurring basis at the rate applicable to your plan. Lemon Squeezy handles all billing, including tax calculation and remittance, in accordance with applicable laws. Your relationship with Lemon Squeezy regarding payment is governed by their terms of service.

Prices are displayed in US Dollars (USD). Depending on your location, applicable taxes (such as VAT or GST) may be added at checkout and are handled by Lemon Squeezy as merchant of record.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You will receive a reminder email before your annual subscription renews. You can cancel at any time from your account dashboard, and cancellation takes effect at the end of the current billing period — you retain full access until then.

4.4 Plan Changes

You may upgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.

4.5 Failed Payments

If a payment fails, Lemon Squeezy will attempt to retry the charge. If the payment cannot be collected, your subscription may be suspended or cancelled and your access to paid features will be revoked until payment is resolved.

5. Refund Policy

We want you to be satisfied with Satisphy. We offer the following refund terms:

• New subscriptions: If you are not satisfied, you may request a full refund within 7 days of your first payment. To request a refund, email satisphyio@gmail.com from the email address associated with your account. Refund requests submitted after 7 days of the initial purchase will not be honored.
• Renewals: Refunds are not available for subscription renewals. Please cancel before your renewal date if you do not wish to continue.
• Annual plans: Refunds for annual plans are available within 7 days of payment. After this window, annual plan payments are non-refundable; you will retain access for the remainder of the annual period.

Refunds are processed by Lemon Squeezy and typically appear on your statement within 5–10 business days.

6. Acceptable Use

You agree to use Satisphy only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the service to create, distribute, or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the service or its related systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Satisphy application or its underlying simulation engine.
• Scrape, crawl, or systematically download content from Satisphy using automated tools.
• Use the service in any manner that could damage, disable, overburden, or impair our servers or networks.
• Attempt to circumvent subscription restrictions, including sharing accounts, manipulating subscription state, or exploiting bugs to access paid features without a valid subscription.
• Redistribute, resell, or sublicense access to the Satisphy platform to third parties.
• Use the service to create content that infringes the intellectual property rights of any third party.

We reserve the right to terminate accounts that violate these provisions without refund.

7. Content You Create

7.1 Your Ownership

The video and image content you create using Satisphy ("Your Content") belongs to you. We do not claim any ownership over the exported animations, recordings, or screenshots you produce using our tools.

7.2 License to Use Your Content

Subject to your subscription plan, we grant you the following license to use Your Content:

• Starter plan: A non-exclusive, non-commercial license to use Your Content for personal, non-monetized social media posts. Exports include a Satisphy watermark. You may not remove or obscure this watermark. You may not use Starter plan exports in paid advertisements, sponsored content, or for direct commercial gain.
• Creator and Annual plans: A non-exclusive, worldwide, royalty-free license to use Your Content for both personal and commercial purposes, including monetized social media content, paid advertisements, client work, and merchandise. Exports are watermark-free.

7.3 Grant Back License

By using Satisphy, you grant us a limited, non-exclusive license to display Your Content in our marketing materials (such as a showcase page or promotional videos) to illustrate what can be created with Satisphy. We will not sell your content. You may opt out of this by emailing satisphyio@gmail.com.

8. Watermarks

All exports produced on the Starter plan include an embedded Satisphy watermark. You agree not to remove, alter, obscure, or circumvent this watermark by any means — including but not limited to cropping, overlaying, or editing the exported file. Removing the watermark without upgrading to a Creator or Annual plan is a material breach of these Terms and may result in account termination.

9. Satisphy's Intellectual Property

The Satisphy platform, including its source code, simulation engine, physics algorithms, visual design, user interface, branding, and all associated intellectual property, is owned by Satisphy and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in Satisphy's intellectual property other than the limited license to use the service as described herein.

The name "Satisphy," the Satisphy logo, and related marks are trademarks of Satisphy. You may not use our trademarks without our prior written permission.

10. Third-Party Services

Satisphy integrates with or links to third-party services including Lemon Squeezy (payments). Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices, availability, or content of any third-party service.

11. Service Availability and Modifications

We strive to maintain high availability of Satisphy, but we do not guarantee uninterrupted or error-free access. The service may be unavailable due to scheduled maintenance, unplanned outages, or circumstances outside our control. We will make reasonable efforts to notify users in advance of scheduled downtime.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we discontinue the service entirely, we will provide at least 30 days' notice by email and will issue prorated refunds for any prepaid subscription periods.

We may add, remove, or modify features of the service. We will not substantially reduce the core functionality of a paid plan without notice. If we do reduce core functionality, you will have the option to cancel and receive a prorated refund.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THAT THE CONTENT PRODUCED USING SATISPHY WILL ACHIEVE ANY PARTICULAR RESULT, INCLUDING VIEWS, ENGAGEMENT, OR REVENUE ON SOCIAL MEDIA PLATFORMS. PERFORMANCE OF YOUR CONTENT ON THIRD-PARTY PLATFORMS IS OUTSIDE OUR CONTROL.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SATISPHY, ITS OPERATORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SATISPHY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the minimum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Satisphy and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the service in violation of these Terms; (b) Your Content; or (c) your violation of any third-party rights.

15. Termination

You may close your account at any time by emailing satisphyio@gmail.com. Cancelling your subscription does not automatically delete your account; it only stops future billing. To have your account and data deleted, explicitly request deletion.

We may suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or if required to do so by law. In cases of termination for cause, no refund will be issued.

Upon termination, your right to access the service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law provisions. Any dispute arising from these Terms or your use of Satisphy shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English, with the arbitration taking place in the United States.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

You and Satisphy agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the updated Terms take effect. Your continued use of the service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service and cancel your subscription before the effective date.

18. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Satisphy regarding the service.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
• No agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Satisphy.
